DIFC Introduces Variable Capital Companies for Proprietary Investment Structures
The Dubai International Financial Centre (DIFC) enacted its Variable Capital Company (VCC) Regulations on 9 February 2026. The VCC is a new corporate vehicle for holding and structuring proprietary investments.
Key features
- Open to any applicant: a VCC can be established by any applicant, provided it appoints a DIFC-licensed Corporate Services Provider (CSP). Certain VCCs are exempt, such as those controlled by DIFC-registered entities, DFSA-authorised firms, government entities or listed companies.
- No qualifying purpose: the restrictions proposed in the earlier draft have been removed.
- Cell structures: a VCC can be a standalone company or an umbrella with incorporated or segregated cells, allowing assets to be ring-fenced.
- Flexible share capital: share capital equals net asset value, so shares can be issued and redeemed as capital moves in and out.
- No DFSA licence for proprietary use: DFSA authorisation is only needed if the VCC carries on regulated financial services.
Who this may suit
- Families holding several asset classes or investment portfolios
- Groups that want to separate assets within one structure
- Investors holding secondary positions or co-investments
